1. Acceptance of Terms

These Terms of Service govern your use of NaS_OS, operated by NOT A STUDIO LLC (30 N Gould St, STE R, Sheridan, WY 82801, USA). By creating an account or using the Service, you agree to these Terms.

If you are using the Service on behalf of a company, you confirm you have authority to bind that company to these Terms. If you do not agree, do not use the Service.

Continued use after any update to these Terms constitutes acceptance of the revised version.

2. Description of Service

NaS_OS is an AI-powered Software-as-a-Service (SaaS) platform designed to assist M&A advisory firms, financial boutiques, and related professional services firms in analyzing deal documents and generating Information Memorandums and related outputs. The Service is accessible at https://nas-os.io.

The Service includes, but is not limited to:

  • AI-assisted analysis and extraction of data from deal documents and financial materials
  • Automated generation of Information Memorandums, deal summaries, and structured outputs
  • Document ingestion, parsing, and structuring tools
  • Discrepancy detection and cross-document validation features
  • Collaboration and review tools for deal teams

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with reasonable notice where possible.

3. IMPORTANT: AI Limitations and No Professional Advice

PLEASE READ THIS SECTION CAREFULLY. IT DIRECTLY AFFECTS YOUR LEGAL RIGHTS.

NaS_OS IS AN AI-POWERED TOOL. ALL OUTPUTS GENERATED BY THE SERVICE — INCLUDING TEASERS, INFORMATION MEMORANDUMS, DOCUMENT SUMMARIES, DATA EXTRACTIONS, FINANCIAL ANALYSES, AND DISCREPANCY REPORTS — ARE GENERATED BY AUTOMATED ARTIFICIAL INTELLIGENCE SYSTEMS AND ARE PROVIDED FOR INFORMATIONAL AND OPERATIONAL ASSISTANCE PURPOSES ONLY.

THE SERVICE DOES NOT PROVIDE FINANCIAL, LEGAL, INVESTMENT, VALUATION, TAX, OR ANY OTHER PROFESSIONAL ADVISORY SERVICES. OUTPUTS PRODUCED BY THE SERVICE:

  • May contain errors, omissions, hallucinations, or inaccuracies inherent to AI systems
  • May not reflect current market conditions, regulatory requirements, or legal standards
  • Must be reviewed, verified, and validated by qualified professionals before any reliance
  • Must not be used as the sole basis for any investment, financial, legal, or business decision

YOU ARE SOLELY AND ENTIRELY RESPONSIBLE FOR ALL DECISIONS MADE IN RELIANCE ON SERVICE OUTPUTS. THE COMPANY EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY LOSSES, DAMAGES, OR CONSEQUENCES ARISING FROM YOUR RELIANCE ON AI-GENERATED OUTPUTS WITHOUT INDEPENDENT PROFESSIONAL VERIFICATION.

By using the Service, you acknowledge that you understand and accept these limitations.

4. Eligibility and Account Registration

The Service is intended exclusively for use by professional entities and their authorized representatives operating in a commercial capacity. By registering, you represent that:

  • You are at least 18 years of age
  • You are acting in a professional or commercial capacity, not as a consumer
  • You have the authority to bind your organization to these Terms
  • All registration information you provide is accurate, complete, and current
  • You will maintain the security and confidentiality of your account credentials

You are responsible for all activity under your account. Notify us immediately at legal@nas-os.io if you suspect unauthorized use.

5. Subscription, Fees, and Payment

Access to the Service requires a paid subscription. Plans, pricing, and billing cycles are described on our website or in a separate order form.

Unless otherwise agreed in writing:

  • All fees are quoted in the currency specified in your subscription plan
  • Subscriptions renew automatically unless cancelled before the renewal date
  • Fees are non-refundable except as required by applicable law
  • We may change pricing with 30 days' written notice
  • Failure to pay may result in suspension or termination of access

As the Service is provided to business clients acting in a professional capacity, statutory consumer withdrawal rights under EU Directive 2011/83/EU do not apply. Any right of withdrawal or cancellation is governed exclusively by these Terms and any separate written agreement between the parties.

6. Acceptable Use Policy

You agree to use the Service only for lawful, professional purposes. You agree not to:

  • Use the Service to process information in violation of applicable laws or third-party rights
  • Upload content that infringes intellectual property rights of any third party
  • Attempt unauthorized access to any part of the Service or its systems
  • Introduce malware, viruses, or harmful code
  • Reverse engineer, decompile, or attempt to extract source code
  • Resell, sublicense, or make the Service available to third parties without prior written consent
  • Use AI outputs as final deliverables without human review and professional verification
  • Misrepresent AI-generated outputs as independently verified professional advice

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including all software, AI models, algorithms, interfaces, designs, and documentation, is the exclusive property of NOT A STUDIO LLC. These Terms grant no rights beyond the limited license described below.

7.2 License to Use

Subject to compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

7.3 Your Content

You retain ownership of all data, documents, and content you upload ("Client Content"). You grant us a limited license to process Client Content solely to provide the Service. We do not use Client Content to train AI models without your explicit written consent.

You represent that you have all necessary rights and permissions to upload Client Content, and that doing so does not violate any third-party rights or applicable laws.

8. Confidentiality

Both parties may exchange confidential information in connection with the Service. Each party agrees to keep confidential information strictly confidential, use it only for the purposes of these Terms, and not disclose it to third parties without prior written consent.

We treat all Client Content as confidential and will not share it with third parties except as necessary to provide the Service or as required by law.

9. Data Protection and Privacy

We process personal data in accordance with our Privacy Policy (https://nas-os.io/legal/privacy) and applicable data protection laws, including the EU GDPR where applicable.

Where we process personal data on your behalf as a data processor, our Data Processing Agreement (DPA) applies and is incorporated herein by reference. The DPA is available upon request at legal@nas-os.io.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF AI-GENERATED INACCURACIES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOT A STUDIO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM USE OF THE SERVICE OR RELIANCE ON AI-GENERATED OUTPUTS.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED EUROS (EUR 100).

12. Indemnification

You agree to defend, indemnify, and hold harmless NOT A STUDIO LLC, its officers, directors, employees, and agents from claims, damages, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your Client Content; or (d) your violation of applicable law or third-party rights.

13. Term and Termination

These Terms remain in effect for as long as you maintain an active account or subscription.

We may suspend or terminate your access at any time with reasonable notice. You may terminate by contacting legal@nas-os.io.

Upon termination, all licenses cease immediately. We will retain Client Content for 30 days post-termination, after which it may be permanently deleted.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law provisions.

Disputes shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association.

15. Changes to These Terms

We may update these Terms at any time. We will notify you of material changes by email or website notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
